Statement regarding Official Publication of Voluntary Takeover Offer by Sanofi Aventis Europe

Prague, London, July 11, 2008 - Zentiva N.V. notes the official publication today by Sanofi Aventis Europe, a wholly owned subsidiary of sanofi-aventis, of its unsolicited voluntary takeover offer to acquire Zentiva N.V. shares at a price of CZK 1,050.

The Board of Zentiva N.V. will consider the full details of the offer, which are now publicly available, and will publish its position statement in due course. In the meantime, shareholders are strongly advised not to take any action in regards to the published offer or the offer made by Anthiarose Limited.
