Response Genetics, Inc. Announces $2.3 Million Equity Financing

LOS ANGELES--(BUSINESS WIRE)-- Response Genetics, Inc. (Nasdaq:RGDX) announced today that it has agreed to sell 1,175,512 shares of its common stock, at a price of $1.99 per share in a registered direct public offering to certain institutional investors. Response Genetics, Inc. expects to receive net proceeds of approximately $2.2 million from the sale, after deducting its estimated offering expenses. The closing of the offering is expected to take place on or about May 6, 2011.

The Company intends to use the net proceeds of this offering for payment of the expenses and costs associated with its operations and for other general corporate purposes.

The securities issuable in connection with the financing will be registered under the Securities Act of 1933, as amended, pursuant to a registration statement previously filed with and declared effective by the Securities and Exchange Commission and the prospectus contained therein, as supplemented by the final prospectus supplement relating to the offering to be filed with the Securities and Exchange Commission.
