Patheon reports fiscal 2013 second quarter results

TORONTOJune 3, 2013 - Patheon Inc. (TSX: PTI), a leading provider of contract development and commercial manufacturing services to the global pharmaceutical industry, with recently acquired proprietary products, announced today fiscal 2013 second quarter results.

Second Quarter Fiscal 2013 Financial Highlights  

  • Revenues in the quarter increased to $253.9 million from $181.5 million in the same period last year, an increase of $72.4 millionor 39.9 percent. Banner represented $54.6 million of the increase and therefore, Patheon standalone revenues grew 9.9 percent compared to the same period last year.
  • Gross profit in the quarter increased to $57.0 million from $34.0 million in the same period last year, an increase of $23.0 millionor 67.6 percent.
  • Adjusted EBITDA increased in the quarter to $34.4 million from $16.5 million in the same period last year, an increase of $17.9 million.
     
  • Income from continuing operations in the quarter was $0.1 million compared to a loss from continuing operations of $79.6 millionin the same period last year.  Improved operating performance in the current quarter and an impairment charge of $57.9 million in the same period last year contributed primarily to the year over year favorability.

Fiscal 2013 Second Quarter and Six Month Period Ended April 30, 2013 Operating Results from Continuing Operations

Revenues for the second quarter increased $72.4 million, or 39.9 percent, to $253.9 million, from $181.5 million in the same period last year driven by growth in our existing business and $54.6 million of additional revenues resulting from the Banner acquisition.

Commercial manufacturing (CMO) revenues for the second quarter increased $72.5 million, or 49.3 percent, to $219.5 million, from $147.0 million in the same period last year. Pharmaceutical Development Services' (PDS) revenues for the second quarter decreased $0.1 million, or (0.3) percent, to $34.4 million, from $34.5 million in the same period last year.  This reflects the impact of the sale of Patheon's clinical packaging business to Bellwyck Packaging Solutions in fiscal 2012.  Excluding the impact of the sale, the PDS business grew by 3.3 percent compared to the same period last year.

Revenue for the six month period ended April 30, 2013 increased $132.0 million, or 39.4 percent, to $467.4 million, from $335.4 million in the same period last year driven by growth in our existing business and $77.9 million of additional revenue resulting from the Banner acquisition.

CMO revenues for the six month period ended April 30, 2013 increased $129.8 million, or 48.1 percent, to $399.6 million, from $269.8 millionin the same period last year.  PDS revenues for the six month period ended April 30, 2013 increased $2.2 million, or 3.4 percent, to $67.8 million, from $65.6 million in the same period last year.  Excluding the impact of the sale of Patheon's clinical packaging business in fiscal 2012, the PDS business grew by 7.4 percent over the same period last year.

Gross profit for the second quarter increased $23.0 million to $57.0 million, from $34.0 million in the same period last year. The increase in gross profit margin was driven by higher volumes and savings from our operational excellence initiatives, partially offset by $2.1 million in increased cost of goods sold related to the fair value mark up of Banner's inventory from the acquisition, as well as $5.0 million in higher inventory write-offs and $3.1 million in product returns from a packaging site, primarily from Banner operations.

Gross profit for the six month period ended April 30, 2013 increased $51.0 million to $99.4 million, from $48.4 million for the same period last year.  The increase in gross profit margin was driven by higher volumes and savings from our operational excellence initiatives, partially offset by $5.0 million in increased costs of goods sold related to the fair value mark up of Banner's inventory from the acquisition, $6.0 millionin higher inventory write-offs and $3.1 million in product returns from a packaging site, primarily from Banner operations.

Income from continuing operations for the second quarter was $0.1 million, or 0.1¢ per share, both basic and diluted, compared to a loss from continuing operations of $79.6 million, or 61.4¢ per share, both basic and diluted, in the same period last year.

Loss from continuing operations for the six month period ended April 30, 2013 was $51.3 million, or 37.3¢ per share, both basic and diluted, compared to a loss from continuing operations of $98.9 million, or 76.3¢ per share, both basic and diluted, in the same period last year.

Adjusted EBITDA increased in the quarter to $34.4 million from $16.5 million in the same period last year, an increase of $17.9 million.  The Adjusted EBITDA margin for the second quarter was 13.5 percent compared to 9.1 percent in the same period last year.  Excluded from the current quarter Adjusted EBITDA calculations were integration-related charges of $6.1 million in product returns from a packaging site and inventory write-offs.

At the end of the second quarter of fiscal 2013, Patheon had liquidity of $115.3 million, an increase of $11.5 million from the fourth quarter in 2012, from cash and cash equivalents of $57.1 million and $58.2 million from available lines of credit.

Patheon continues to target annual savings from operational synergies from the Banner acquisition of approximately $12.5 million, with $6.5 million anticipated in fiscal 2013.  As previously disclosed and consistent with the company's strategy to strengthen core operations through a network-wide program of operational excellence, the company continues to transfer products from its Olds, Alberta facility to other Banner production sites and explore the potential sale of the premises.  The wind down of the Olds, Alberta site should result in estimated annual savings of approximately $10.0 million, with approximately $2.0 million occurring in fiscal 2013.  In addition, Patheon formalized the sale of its Caguas facility consistent with the company's previously announced intent to consolidate its Puerto Rico operations.  Operations at the Caguas site are expected to continue until the end of 2013, at which time the closing should result in additional savings of approximately $3.0 million in future fiscal years.

2013 Outlook

The company anticipates revenues for the combined enterprise to be in excess of $1 billion annually.

Use of Non-GAAP Financial Measures

Commencing with the first quarter of fiscal 2013, we revised our calculation of Adjusted EBITDA to exclude stock-based compensation expense, consulting costs related to our operational initiatives and purchase accounting adjustments.  We believe that excluding these items from Adjusted EBITDA better reflects our underlying performance.  Based on the revisions to the definition of Adjusted EBITDA, we have recast the presentation of Adjusted EBITDA for the three and six months periods ended April 30, 2012 to be consistent with the current period presentation.  Our Adjusted EBITDA (as revised) is now income (loss) from continuing operations before repositioning expenses, interest expense, foreign exchange losses reclassified from other comprehensive income (loss), refinancing expenses, acquisition and integration costs (including certain product returns and inventory write-offs recorded in gross profit), gains and losses on sale of capital assets, income taxes, asset impairment charges, depreciation and amortization, stock-based compensation expense, consulting costs related to our operational initiatives, purchase accounting adjustments and other income and expenses. Since Adjusted EBITDA is a non-GAAP measure that does not have a standardized meaning, it may not be comparable to similar measures presented by other issuers.
